Terms and Conditions of Service

1. Acceptance of Terms
By accessing or using Poliglot OS (the "Services"), you agree to be bound by these Terms and Conditions.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Services.
The Services are currently provided as a 'Beta.' As such, the Services are provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind. Poliglot Inc. does not guarantee continuous uptime or that the Services will be free of bugs, errors, or data corruption.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Services. Your continued use of the Services after such notice constitutes your acceptance of the updated Terms.
2. Service Description and Model Policy
Poliglot provides a platform to manage AI-driven workflows. Inference is always executed by third-party model providers; Poliglot does not ship or sell proprietary models.
- Model Routing: You may run in one of two modes. Bring Your Own Model (BYOM): you connect a third-party provider account you hold and control that relationship directly. Managed Model Router: Poliglot holds agreements with a set of supported providers and routes inference on your behalf. You may switch modes per workspace. Poliglot is not responsible for the output of these models.
- Integrations: You may choose to connect third-party applications to the Services. By doing so, you grant Poliglot the necessary permissions to access and interface with those apps on your behalf.
In BYOM mode, you are solely responsible for any costs, overages, or fees incurred from the provider you connect; we recommend setting hard billing limits at the provider to prevent unexpected charges from autonomous agent loops. In Managed Router mode, third-party inference is billed through Poliglot as part of your subscription on the terms set out in your order form.
3. Acceptable Use and User Conduct
You agree not to use the Services, or any autonomous workflows executed through the Services, to:
- Network & API Abuse: Launch denial-of-service (DDoS) attacks, maliciously scrape websites, or intentionally overwhelm third-party APIs and integrations. You are responsible for ensuring your automated workflows respect the rate limits and Terms of Service of the third-party platforms you connect to.
- System Integrity & Sandbox Evasion: Attempt to bypass container isolation, manipulate the session billing or heartbeat mechanisms, or reverse-engineer the Poliglot platform, Coordinator, or underlying infrastructure.
- Deceptive Automation: Use autonomous agents to distribute malware, conduct phishing campaigns, or facilitate mass unsolicited communications (spam) via email, SMS, or third-party messaging integrations.
- Fraud & Illegal Acts: Execute workflows that violate any applicable local, state, national, or international law, including the unauthorized processing of sensitive financial or personal data.
Poliglot Inc. reserves the right to immediately suspend or terminate your workspaces, sessions, or account without refund if we determine, in our sole discretion, that your workflows violate these terms or pose a security risk to our infrastructure.
4. Data Ownership and Use
- Your Data, Your Ownership: Poliglot claims no ownership rights over the data retrieved from your connected systems, your workspace contents, or your execution history.
- Limited License: You grant Poliglot a limited license to host, transmit, and process that data solely as required to operate your workspace and execute the actions your workflows initiate.
- Deletion: You may delete workspace data at any time. Poliglot is not responsible for data loss resulting from user-initiated deletion.
Poliglot does not train, fine-tune, or evaluate AI models on your workspace data, integration data, or execution history. This commitment is absolute and applies to every deployment tier. Poliglot does not ship or sell proprietary models; inference is always executed by third-party providers, whether you connect one yourself (BYOM) or use our Managed Model Router. Where applicable, we contract with the underlying providers for zero data retention and no training on customer data, and pass those terms through in our DPA. This covers both the providers Poliglot brokers through the Managed Router and, where you direct us to, those you bring under BYOM. Where a provider does not offer those terms, the provider's own policies apply to inference traffic you route through them.
Poliglot may collect product telemetry, for example action counts, error rates, latency, and feature usage, to operate and improve the Service. Telemetry is aggregated and does not contain workspace contents, integration data, or execution payloads.
Beta-period analytics (public cloud). During the Beta period, Poliglot collects expanded operational analytics from public cloud workspaces to evaluate functionality and better support customers. This is usage data, not workspace contents or integration data.
5. Account Responsibility, Credits, and Billing
- Prepaid B2B Compute Credits: The Services utilize a prepaid credit system ("Matrix Credits") for resource allocation. You are purchasing B2B software access licenses, not consumer gift cards.
- Credit Expiration and Breakage: Credits granted as part of a recurring subscription expire at the end of the applicable billing period and do not roll over.
- Credit Packs: One-time credit pack purchases expire twelve (12) months from the date of purchase. Any unspent credits at the time of expiration are forfeited.
- No Refunds: All payments are final and non-refundable, including for unused or expired credits, or in the event of account termination.
6. Indemnification
You agree to indemnify and hold harmless Poliglot Inc. from any claims arising from the data you provide, the integrations you connect, or the content generated by third-party models.
7. Limitation of Liability and Autonomous Actions
- Autonomous Capabilities: The Services allow you to configure AI agents that may take autonomous actions, modify data, or interact with third-party APIs on your behalf. You are solely responsible for setting appropriate guardrails, permissions, and oversight for these autonomous workflows.
- No Liability for AI Actions: Poliglot Inc. shall not be liable for any data loss, system downtime, unauthorized communications, or third-party costs (including but not limited to API usage fees) incurred due to the actions, hallucinations, or errors of the AI models or the autonomous workflows you deploy.
- Liability Cap: To the maximum extent permitted by law, Poliglot Inc. shall not be liable for any indirect, incidental, or consequential damages. In no event shall our total aggregate liability exceed the amount you paid us in the twelve (12) months immediately preceding the claim.
8. Dispute Resolution
- Governing Law: Laws of the State of Delaware.
- Arbitration: Disputes shall be resolved through binding arbitration in Wilmington, DE.
- Class Action Waiver: You waive the right to participate in class-action lawsuits.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
